A General Meeting of Shareholders (GMS) is a meeting for all shareholders. It can be convened by the board of directors or requested by the board of commissioners to jointly make crucial company decisions or to decide on matters not delegated to the Board of Directors or Board of Commissioners.
According to the Articles of Association, there are two types of GMS:
Annual GMS: Held once a year.
Extraordinary GMS: Held as needed, from time to time.
Rights and Authorities of the GMS
The authorities of the GMS include:
Appointing and dismissing members of the Board of Commissioners and the Board of Directors.1
Evaluating the performance of the Board of Commissioners and the Board of Directors.2
Approving amendments to the Articles of Association3.
Determining the allocation of profits.
Appointing public accountants and setting the form and amount of remuneration for the Board of Commissioners and the Board of Directors.
Publication of GMS Information
The Company does not publish GMS information to the public as it is not a publicly listed company.
